Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and, if applicable, the company you represent) and GenX Aero LLC ("GenX Aero," "we," "us," or "our") governing your access to and use of GenX Aero Stock and Sales, including the website located at genxaero.com and all related tools (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

GenX Aero Stock and Sales is a platform for aviation parts companies to list inventory, request and build quotes, generate purchase orders, and track sales, exchanges, and purchases. Every account has access to both the buying and selling side of the platform — there is no separate "buyer" or "seller" tier.

GenX Aero is a marketplace and record-keeping tool. We are not a party to any transaction between a buyer and a seller on the platform, and we do not take title to, inspect, or certify any part listed by a seller.

You must provide accurate information when creating an account and keep it up to date. You're responsible for everything that happens under your account, including actions taken by teammates you add to it, and for keeping your password secure. Tell us right away at support@genxaero.com if you suspect unauthorized access to your account.

One account is issued per company. You must be authorized to bind that company to these Terms.

Access to the Service requires a paid subscription, billed through our payment processor, Stripe. Current pricing is shown on the Service at the time of purchase and covers your whole company (a base number of seats included, with additional seats billed per seat).

Subscriptions renew automatically at the then-current price unless canceled before the renewal date. You can cancel or manage your subscription at any time from the Billing page in your dashboard. Except where required by law, fees already paid are non-refundable, including for partial billing periods.

A discount code, where offered, applies only under the terms stated when it was issued (e.g., a percentage or dollar amount off a single payment) and has no cash value.

Sellers are solely responsible for the accuracy of everything they list or state in a quote — condition, certification, traceability, airworthiness status, price, and availability. GenX Aero does not verify, inspect, or guarantee the accuracy of any listing, quote, or certification document uploaded to the Service.

Buyers are responsible for independently verifying the condition, certification, and airworthiness of any part before purchase or installation, in accordance with applicable aviation regulations (including FAA or other governing authority requirements).

Any purchase order, quote, or sale between a buyer and seller is an agreement solely between those parties. GenX Aero is not responsible for a counterparty's performance, payment, shipment, part quality, or compliance with aviation regulations, and is not a party to that transaction.

From time to time we may offer referral codes that credit a payout to the person who referred a paying company, and/or discount codes redeemable at checkout. Both are offered at our discretion, may be changed or discontinued at any time, and have no value except as expressly stated when issued.

You agree not to:

• List or represent counterfeit, stolen, or unapproved parts as genuine or airworthy;
• Upload a certification document you don't have the right to use or that is falsified;
• Use the Service to defraud, mislead, or spam another user;
• Attempt to bypass, disable, or interfere with the Service's security or billing;
• Scrape, resell, or reverse-engineer the Service without our written permission; or
• Use the Service in violation of any applicable export control or aviation law.

You retain ownership of the listings, messages, documents, and other content you upload. By uploading it, you grant GenX Aero a license to host, display, and transmit it as necessary to operate the Service (for example, showing a listing to buyers, or attaching a certificate to a generated PDF). You're responsible for having the rights to anything you upload.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate an account that violates these Terms, engages in fraud, or creates risk or legal exposure for GenX Aero or other users, with or without notice where circumstances warrant it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING, QUOTE, OR CERTIFICATION ON THE SERVICE IS ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENX AERO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION CONDUCTED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

You agree to indemnify and hold GenX Aero harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, a transaction you entered into through it, or your violation of these Terms.

We may update these Terms from time to time. If we make a material change, we'll update the date at the top of this page and, where appropriate, notify account holders by email. Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Florida, and you consent to that venue and jurisdiction.
